Terms of Use

Your rights under this Agreement will terminate immediately and automatically, without prior notice from Encodework Systems LLP, if you fail to comply with any term or condition set out herein.

Encodework Systems LLP reserves the right, at its sole discretion, to modify, suspend, or discontinue your access to any of our services or applications at any time, with or without reason. We may also disable any application or component feature at any time.

Upon expiration or termination of this Agreement, you must immediately cease all use of Encodework Systems LLP applications and permanently destroy all copies in your possession or under your control. Termination shall not limit any other rights or remedies available to Encodework Systems LLP at law or in equity.

In compliance with applicable personal data protection legislation, all personal data you provide through the use of our services will be processed in accordance with our Privacy Policy. By accepting this Agreement, you expressly and unequivocally accept our Privacy Policy on an informed basis and may exercise your data protection rights as described therein.

Permissions & Device Data

When using Encodework Systems LLP applications, we may request your consent for certain data practices, including access to your device location or the delivery of push notifications. Consent may be obtained through the application itself or via your device's standard permissions system.

Your mobile device platform provides tools that allow you to manage when and how your device collects or shares particular categories of personal data, including location information.

The Encodework Systems name and logo, and all associated trademarks, including design, text, images, photographs, illustrations, audio, video, artwork, graphic material, code, content, protocols, software, and documentation used in connection with our applications, are the exclusive property of Encodework Systems LLP (collectively, "Encodework Trademarks").

Other trademarks, service marks, graphics, and logos used in connection with our applications belong to their respective owners ("Third-Party Trademarks"). Neither Encodework Trademarks nor Third-Party Trademarks may be copied, imitated, or used — in whole or in part — without prior written permission from Encodework Systems LLP or the relevant trademark holder.

All application content is protected by copyright, trademark, patent, and other intellectual property laws, all rights being reserved to Encodework Systems LLP and its licensors.

Our applications, services, and all related content and facilities are provided on an "as is, as available" basis, without warranties of any kind, whether express or implied. To the fullest extent permitted by applicable law, Encodework Systems LLP disclaims all representations and warranties, including those relating to:

• Merchantability, quality, or fitness for a particular purpose
• Accuracy or completeness of content within the applications
• Uninterrupted, timely, secure, or error-free operation
• Reliability of results obtained through use of our services
• Non-infringement of third-party rights

Encodework Systems LLP assumes no liability for property damage, unauthorised access to secure servers or personal and financial data, interruption of service, transmission of malicious software by third parties, or any loss arising from reliance on application content.

Encodework Systems LLP shall not be liable for any acts or omissions of third parties, nor for any direct, indirect, incidental, special, consequential, or punitive damages arising from or in connection with:

• Your access to, use of, or inability to use our applications or services
• Reliance on or downloading from our applications
• Delays or inaccuracies in information or its transmission
• Loss of business, profits, data, goodwill, or anticipated savings
• Claims of third parties and all associated costs and expenses

You agree to indemnify, defend, and hold harmless Encodework Systems LLP, its partners, affiliates, officers, directors, employees, consultants, and agents from and against any and all third-party claims, liabilities, damages, and costs (including reasonable legal fees) arising from:

• Your use of Encodework Systems LLP applications
• Your violation of any term of this Agreement
• Your infringement, or infringement by any user of your account, of any intellectual property or other rights of any person or entity

You agree to notify Encodework Systems LLP immediately upon becoming aware of any unauthorised use of your account or any other known breach of security.

This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the competent courts located within India for the resolution of any disputes arising from or relating to this Agreement or our applications.

If any provision of this Agreement is found by a court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remainder of this Agreement continues in full force and effect and remains enforceable.

This Agreement constitutes the entire agreement between you and Encodework Systems LLP with respect to its subject matter, and supersedes all prior and contemporaneous agreements, proposals, negotiations, or representations — whether written or oral — relating thereto.
